This is a binding agreement between you and taipeiexpats.com (the “Site”, “Us”, “We”, “Taipei Expats”). By using the site located at https://taipeiexpats.com (the “Site”), you agree to abide by these Terms of Use. If at any time you find these Terms of Use unacceptable, you must immediately leave the Site and cease all use of it. taipeiexpats.com, this com (the “Site”) is an online information service provided, owned and managed by Taipei Expats, subject to your compliance with the terms and conditions which are presented below.
Please read this Terms of Services carefully before accessing or using this Site and Services. By accessing or using the Site, you agree to be bound by the terms and conditions presented below. If you do not wish to be bound by these terms and conditions, you are forbidden or use the Site and services. Taipei Expats may modify this agreement at any time, and such modifications would be effective immediately upon posting of the modified agreement on the Site.
Taipei Expats ask that you review the agreement periodically to be aware of such modifications and that your continued access or use of the Site and Services would be considered your conclusive acceptance of the modified agreement.
1. PRIVACY POLICY
Taipei Expats respects your privacy and permit you to control the treatment of your personal information. A complete statement of the current privacy policy of the Site can be found by clicking here. The Site privacy policy is expressly incorporated into this Agreement by this reference.
1.1 Copyright, Licenses and Idea Submissions
The entire contents of the Site is protected by international copyright and trademark laws, therefore you must respect the intellectual property rights of others. The owner of the copyrights and trademarks is Taipei Expats. You ARE NOT permitted to MODIFY, COPY, REPRODUCE, REPUBLISH, UPLOAD, POST, TRANSMIT, OR DISTRIBUTE, IN ANY MANNER, THE MATERIAL ON THE SITE, INCLUDING TEXT, GRAPHICS, CODE AND/OR SOFTWARE. Your use of the Site is at all times governed by and subject to laws regarding copyright ownership and use of intellectual property. You agree not to upload, download, display, perform, transmit, or otherwise distribute any information or content (collectively, “Content”) in violation of any third party’s copyrights, trademarks, or other intellectual property or proprietary rights.
You agree to abide by laws regarding copyright ownership and use of intellectual property, and you shall be solely responsible for any violations of any relevant laws and for any infringements of third party rights caused by any Content you provide or transmit, or that is provided or transmitted using your User ID. The burden of proving that any Content does not violate any laws or third party rights rests solely with you. Nothing contained on the Site should be understood as granting you a license to use any of the trademarks, service marks, or logos owned by Taipei Expats or by any third party. Other products and company names mentioned in the Site may be the trademarks of their respective owners. Taipei Expats may make certain software available to you from the Site. If you download any software from the Site, the software, including all files and images contained in or generated by the software, and accompanying data (collectively, “Software”) are deemed to be licensed to you by Taipei Expats, for your personal, noncommercial, home use only.
Taipei Expats does not transfer either the title or the intellectual property rights to the Software, and Taipei Expats retains full and complete title to the Software as well as all intellectual property rights therein. You may not sell, redistribute, or reproduce the Software, nor may you decompile, reverse-engineer, disassemble, or otherwise convert the Software to a human-perceivable form. All trademarks and logos are owned by Taipei Expats or its licensors and you may not copy or use them in any manner.
You agree to grant to Taipei Expats a non-exclusive, royalty-free, worldwide, perpetual license, with the right to sub-license, to reproduce, distribute, transmit, create derivative works of, publicly display and publicly perform any materials and other information (including, without limitation, ideas contained therein for new or improved products and services) you submit to any public areas of the Site (such as bulletin boards, forums and newsgroups) or by e-mail to [email protected] (Taipei Expats) by all means and in any media now known or hereafter developed. You also grant to Taipei Expats the right to use your name in connection with the submitted materials and other information as well as in connection with all advertising, marketing and promotional material related to the context on the Site.
You agree that you shall have no recourse against taipeiexpats.com (Taipei Expats) for any alleged or actual infringement or misappropriation of any proprietary right in your communications to taipeiexpats.com (Taipei Expats).
2. Use of the Site
You understand that, except for information, products or services clearly identified as being supplied by Taipei Expats, the Site does not operate, control or endorse any information, products or services on the Internet in any way. Except for taipeiexpats.com- identified information, products or services, all information, products and services offered through the Site or on the Internet mostly are offered by third parties, that are not affiliated with taipeiexpats.com (Taipei Expats). You also understand that Taipei Expats cannot and does not guarantee or warrant that files available for downloading through the Site will be free of infection or viruses, worms, Trojans or other malicious code that manifest contaminating or destructive properties.
You are personally responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to the Site for the reconstruction of any lost data.
2.1. SIGNUPS AND MAILINGS
You have the option, but not obligation, to sign up to taipeiexpats.com. Should you do so, you are agreeing to receive further emailings from taipeiexpats.com (Taipei Expats) of a commercial nature. When you contact taipeiexpats.com (Taipei Expats), you expressly consent and agree to receive email responses from taipeiexpats.com (Taipei Expats). These email communications may be commercial or non-commercial in nature. Noncommercial emails may include, (but are not limited to), administrative issues and announcements of changes to these Terms, the Privacy Policy or other Site documentation.
2.2 Subscriptions
Our mailing list subscription is free. If you wish to cancel any subscription service with taipeiexpats.com, your payment is non-refundable and your service will continue until the time you cancel your subscription services. Subscription cancellations can be made any time within the ‘My Memberships’ section your ‘Account Settings‘ or by contacting us at [email protected].
2.3 Anti-Spam Policy
You ARE NOT permitted to collect any users e-mail addresses or related information on taipeiexpats.com. Unless you have the users prior written consent, you ARE NOT permitted to send any unsolicited bulk e-mails (SPAM) or any information on any advertising content opportunities (such as employment or business opportunities) which does not go through this Site. Any breach of these terms set out by the Site anti-spam policy will be deemed as a violation of this agreement.
2.4 Minimum Age
You must be at least 18 years old to access and participate on the Site. You guarantee and warrant you are at least 18 years old and are able to enter into this Agreement from a legal perspective.
3. Inappropriate Content
You agree not to upload, download, display, perform, transmit, or otherwise distribute any Content that (a) is libellous, defamatory, obscene, pornographic, abusive, or threatening; (b) advocates or encourages conduct that could constitute a criminal offence, give rise to civil liability, or otherwise violate any applicable local, state, national, or foreign law or regulation; (c) advertises or otherwise solicits funds or is a solicitation for goods or services; or (d) provides medical advice to other users. Taipei Expats reserves the right to terminate your receipt, transmission, or other distribution of any such material using the Site, and, if applicable, to delete any such material from its servers. Company intends to cooperate fully with any law enforcement officials or agencies in the investigation of any violation of these Terms or of any applicable laws.
4. Prohibited Uses
Taipei Expats impose certain restrictions on your permissible use of the Site. You are prohibited from violating or attempting to violate any security features of the Site, including, without limitation, (a) accessing content or data not intended for you, or logging onto a server or account that you are not authorized to access; (b) attempting to probe, scan, or test the vulnerability of the Site, or any associated system or network, or to breach security or authentication measures without proper authorization; (c) interfering or attempting to interfere with service to any user, host, or network, including, without limitation, by means of submitting a virus to the Site, overloading, “flooding,” “spamming,” “mail bombing,” “crashing” or instituting a “DDOS” attack on the Site; (d) using the Site to send unsolicited e-mail, including, without limitation, promotions, or advertisements for products or services; (e) forging any TCP/IP packet header or any part of the header information in any e-mail or in any posting using the Site; or (f) attempting to modify, reverse-engineer, decompile, disassemble, or otherwise reduce or attempt to reduce to a human-perceivable form any of the source code used by Taipei Expats in providing the Site. Any violation of system or network security may subject you to civil and/or criminal liability.
5. Limitation of liability
You agree to assume total responsibility and accept the risks for your use on this Site. Taipei Expats liability to you is limited to the maximum extent permitted by law. In no event shall Taipei Expats be liable for damages of any kind (including, but not limited to, special, incidental, or consequential damages, lost profits, or lost data, regardless of the foreseeability of those damages) arising out of or in connection with your use of the Site or any other materials or services provided to you by taipeiexats.com (Taipei Expats).
This limitation shall apply regardless of whether the damages arise out of breach of contract, tort, or any other legal theory or form of action.It is therefore your personal responsibility to assess the accuracy, completeness and usefulness of all opinions, advice, services, merchandise and any other information provided through the Site. Taipei Expats WILL NOT be held accountable for any (direct or indirect) damages or costs regarding any merchandise, information or services provided through the Site services. Taipei Expats ARE NOT liable for any inaccuracies from its third party users who publish any type of information on the Site. Taipei Expats do not warrant that the Site or the Service will meet your requirements or that the operation of the Site or the service will be uninterrupted or error-free.
5.1. Refund Policy
You agree to the rule of only one membership account is to be subscribed to one email address at any time. Taipei Expats ARE NOT liable to offer any refunds on the financial loss of any resigned paid subscriptions if you decide to cancel a subscription or change a membership account from a paid subscription to register for a free subscription account. Taipei Expats reserve the right to suspend or even cancel (delete) any subscription without refund if We suspect the user has abused the Site’s terms of service.
5.2. No Warranties
Taipei Expats hereby disclaim all warranties. Taipei Expats are making the Site available “as is” without warranty of any kind. You assume the risk of any and all damage or loss from use of, or inability to use, the Site and/or the Service. To the maximum extent permitted by law, Taipei Expats expressly disclaim any and all warranties, express or implied, regarding the Site, including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
6. Indemnification
The provisions of these stated terms of service are for the benefit of this Site and Taipei Expats, its affiliates, officers, directors, employees, consultants, agents, and representatives from any and all third party claims, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) arising from your access to or use of the Site, your violation of these Terms of Use, or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity. Taipei Expats will notify you promptly of any such claim, loss, liability, or demand, and will provide you with reasonable assistance, at your expense, in defending any such claim, loss, liability, damage, or cost.
7. Third Party rights
The provisions of paragraphs 2 (Use of this Site), and 6 (Indemnification) are for the benefit of Taipei Expats and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Service. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.
8. Severalty; Waiver
If, for whatever reason, a court of competent jurisdiction finds any term or condition in these Terms of Use to be unenforceable, all other terms and conditions will remain unaffected and in full force and effect. No waiver of any breach of any provision of these Terms of Use shall constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other provisions hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party.
9. Miscellaneous
This Agreement shall all be governed and construed in accordance with the laws of Taiwan applicable to agreements made and to be performed in Taiwan. You agree that any legal action or proceeding between Taipei Expats and you for any purpose concerning this Agreement or the parties’ obligations hereunder shall be brought exclusively in a court of competent jurisdiction sitting in Taiwan.
Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. Taipei Expats failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. Taipei Expats may assign its rights and duties under this Agreement to any party at any time without notice to you.
Any rights not expressly granted herein are reserved.
10. Amendments
Taipei Expats reserves the right to amend these Terms. Should Taipei Expats seek to make such an amendment, which Taipei Expats determine is material in their sole discretion, Taipei Expats shall:
(a) Provide you notice by email of said change 15 days prior to the change going into force, and,
(b) Publish on the homepage the fact an amendment will be made.
Should a court of competent jurisdiction rule this Amendment provision invalid, then this Amendment clause shall be terminated as part of this agreement. – All amendments to the Terms shall be forward looking.
